Annual General Meeting - At any place in India
As the Indian Companies Act, 2013 ("Act") has been gone recently under various changes. The Act has been amended twice a time since it's commencement from 1st April 2014 viz. Companies 1st Amendment Act 2015 and Companies 2nd Amendment Act 2017. The Ministry of Corporate Affairs n its notification dated 13th June 2018 has allowed unlisted companies to conduct such general meeting in any part of India if its' being unanimously approved by the members.
However, the other conditions to convene such meeting as mentioned below shall remain the same: 1) The meeting shall be conducted in between 9:00 am to 6:00 pm 2) The meeting shall not be conducted on national holidays including the day declared as a national holiday.
On the other hand, the MCA has issued 9 notifications to commenced changes in 100 sections of the Act and changes in 7 sections of the Act yet to be notified. The MCA has also recently extended the date for filing Directors' KYC to 15th September 2018 without any late fee
